By accessing or using the printer management services provided by Corelytix ("Company," "we," "us," or "our"), you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.

These Terms govern your use of our technical support, maintenance, and consulting services for printer systems. If you do not agree to these Terms, you may not access or use our services.

2. Services Description

Corelytix provides professional printer management services including but not limited to:

• Printer setup, installation, and configuration
• Technical troubleshooting and diagnostics
• Driver management and software updates
• Network printing solutions
• Security and maintenance services
• Performance optimization
• Remote and on-site technical support

3. Eligibility and Registration

To use our services, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account

We reserve the right to refuse service to anyone for any reason at any time.

4. Payments and Billing

Service Fees: You agree to pay all fees associated with the services you purchase. Fees are quoted in U.S. dollars and are exclusive of applicable taxes.

Billing Cycle: Subscription services are billed on a monthly or annual basis, as selected during purchase. One-time services are billed upon completion.

Payment Methods: We accept major credit cards and other payment methods as indicated during checkout. By providing payment information, you authorize us to charge all fees to your selected payment method.

Late Payments: Accounts with overdue payments may be suspended or terminated. Late payments may be subject to interest charges at the maximum rate permitted by law.

5. Cancellation Policy

Cancellation: You may cancel subscription services at any time through your account dashboard. Cancellations take effect at the end of the current billing cycle.

We reserve the right to deny cancellations or refunds if we suspect abuse of our policies or violation of these Terms.

8. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT WARRANT THAT ALL PRINTER ISSUES WILL BE RESOLVED OR THAT OUR SERVICES WILL MEET ALL YOUR REQUIREMENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CORELYTIX, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES
• ANY CONTENT OBTAINED FROM THE SERVICES
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO US IN THE SIX MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Corelytix and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to our services
• Your violation of any term of these Terms and Conditions
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right
• Any claim that your content caused damage to a third party

11. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in New Castle County, Delaware, and you hereby irrevocably consent to the personal jurisdiction and venue therein.

12. Dispute Resolution

Informal Resolution: Before filing a claim, you agree to try to resolve the dispute informally by contacting support@corelytix.com. We'll try to resolve the dispute informally within 60 days.

Binding Arbitration: If we cannot resolve a dispute informally, any dispute arising from these Terms shall be finally settled by binding arbitration in Delaware in accordance with the American Arbitration Association rules. Judgment on the award may be entered in any court having jurisdiction.

Class Action Waiver: You may only resolve disputes with us on an individual basis and may not bring a claim as a plaintiff or class member in a class, consolidated, or representative action.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using our services.
